Terms of Service
Effective October 16, 2026. Last updated October 17, 2026.
These Terms of Service (the “Terms”) are a binding agreement between you and Prima Aventura LLC, an Oklahoma limited liability company (“Prima Aventura LLC”, “we”, “us” or “our”). They govern your use of LogTotals, the website at logtotals.com and the services offered through it (“LogTotals”). Please read them carefully. Sections 17 through 24 limit our liability, contain your release of claims and your promise to indemnify us, require disputes to be brought in Oklahoma within one year, and waive your right to a jury trial and to bring or join a class or representative action.
In these Terms, the “LogTotals Parties” means Prima Aventura LLC and its members, managers, officers, employees, contractors, agents, licensors, service providers, successors and assigns.
1. Agreeing to these Terms
By creating an account, ticking a box or clicking a button that says you agree, or using LogTotals in any way, you accept these Terms and our Privacy Policy, and you agree that we may rely on that acceptance. If you do not agree, do not use LogTotals.
2. Who may use LogTotals
Age. You must be at least 18 years old and able to form a binding contract to use LogTotals. LogTotals is not intended for anyone under 18, and anyone under 18 is not permitted to create an account or use LogTotals. If we learn that an account belongs to someone under 18, we will delete the account and its information.
United States only. LogTotals is offered only to residents of the United States and is not directed to people outside the United States. We store and process your information in the United States, as described in the Privacy Policy. If you access LogTotals from outside the United States, you do so on your own initiative, and you are responsible for complying with local law.
Legal capacity. You may not use LogTotals if you are barred from doing so by law or if we have previously closed your account for violating these Terms.
3. Your account and its security
Give accurate information when you create your account and keep it up to date, including your email address, which we use to send you notices. You are responsible for keeping your password, your sign-in accounts with Google, Microsoft or Apple, your email account, your authenticator app and the devices it runs on, and your recovery codes secure and under your control. You are responsible for everything that happens in your account, whether or not you authorized it, unless it results from our own failure to use reasonable security. Tell us promptly at legal@primaaventura.com if you believe your account has been used without your permission. We are not liable for any loss caused by someone else using your credentials, a lost or compromised device, or lost recovery codes. We may be unable to restore access to an account if you lose both your authenticator and your recovery codes.
4. What LogTotals is, and what it is not
LogTotals reads photographs and scans of paper pilot logbook pages, lets you review and correct what it read, and keeps an electronic copy of the records you submit. It can work out totals and recency of experience, flag values that look unusual, match aircraft and airports against public data, import records from and export them to other logbook apps, and keep backups of your records.
LogTotals is a backup and convenience tool. It does not replace your paper logbook, which remains your primary record. We make no representation that records kept in LogTotals, or any file or report LogTotals produces, satisfy 14 CFR 61.51 or any other logbook, recordkeeping or reporting requirement of the Federal Aviation Administration (FAA), any other government authority, an employer, an insurer, a school or any other person. Keep your paper logbook safe and up to date.
5. Automated reading and your sole responsibility for accuracy
Logbook pages are read by automated software, including artificial intelligence models run by our service providers. Automated reading makes mistakes, including mistakes it presents with confidence: it can misread handwriting, skip or duplicate lines, put a value in the wrong column, read a ditto mark or abbreviation incorrectly, or mistake one character for another. LogTotals’ highlights and checks can miss errors, and they can flag values that are correct.
Before you submit a page, you must compare every entry against your paper logbook and correct anything that is wrong. When you submit, you make the attestation shown next to the submit button, which includes your confirmation that you compared every entry against your paper logbook, that the information is accurate, that the values were produced by an automated reader, and that you alone are responsible for the accuracy of your records under these Terms. We keep a record of each attestation, with its text, version, date and time, and your IP address and browser type.
You are solely responsible for the accuracy and completeness of every record you submit, enter, import, edit or export, and for every use you or anyone else makes of them. We do not review your records for accuracy, and we have no duty to do so.
6. Aviation safety: do not rely on LogTotals
Totals, currency and recency status, flags and highlights, aircraft and registry matches, aircraft attributes, airport checks, learned values, and anything else LogTotals computes, suggests or displays are for your general information and reference only.
They are not a determination of your currency, recency of experience, flight review status, eligibility, aeronautical experience, or compliance with any law or regulation, including 14 CFR 61.51, 61.56, 61.57 and any similar rule. LogTotals may apply a rule incorrectly, apply an outdated version of a rule, apply the wrong rule to your situation, or work from incomplete or incorrect records.
You must not rely on LogTotals for any decision to act as pilot in command or as a required crew member, to carry passengers, to fly under instrument flight rules, for flight planning, or for any insurance application, hiring or employment decision, checkride, practical test, knowledge test, certificate or rating application, medical application, or any statement to the FAA or anyone else. Before any such decision or statement, you must independently verify every relevant figure against your paper logbook and the current regulations, and consult a qualified flight instructor or other appropriate professional when in doubt.
LogTotals is not affiliated with, endorsed by, or a substitute for the FAA, any other government authority, a flight instructor, an examiner, a flight school, an employer or an insurer.
7. Public and third-party data
LogTotals uses data published by others, including the FAA aircraft registry and airport data from OurAirports. That data is provided as is. It can be incomplete, out of date or wrong, and LogTotals may not have the latest version. A match, or a missing match, against that data does not mean a value in your logbook is right or wrong.
8. Imports and exports
LogTotals can read files exported by other logbook apps and can produce files meant for other apps, such as ForeFlight, MyFlightbook, Garmin Pilot, LogTen, mccPILOTLOG and CrewLounge. Those apps change their formats without notice, and we do not control them. We do not guarantee that another app will accept a file LogTotals produces, that it will read every field correctly, or that LogTotals will read another app’s file correctly. After every import or export, you must check the result, in LogTotals and in the receiving app, against your paper logbook.
9. Backups
LogTotals keeps backups of your flights, aircraft and learned values as a convenience, on the schedule described in the Privacy Policy. We do not guarantee that a backup will exist when you need it, that it will be complete or current, or that loading it will restore your records exactly. Backups are deleted when your account is deleted. You are responsible for keeping your own copies of your records, including your paper logbook and regular exports from the Export page.
10. Your content and the permissions you give us
“Your content” means the images, files, records, notes and other material you upload, enter or create in LogTotals. You keep whatever ownership rights you have in it. You give us a non-exclusive, worldwide, royalty-free license, for as long as your content is stored with us, to host, store, copy, process, transmit, reformat, analyze and display your content, and to send it to our service providers (including sending page images to an artificial intelligence service to be read), only as needed to operate, secure, support and improve LogTotals for you, to comply with law, and to enforce these Terms. We do not use your content to train artificial intelligence models, and we do not sell it.
You promise that you have every right and permission needed to upload your content and to give us this license, and that your content and our use of it as these Terms allow do not violate anyone’s rights or any law. Logbook pages can contain other people’s names, certificate numbers and signatures, for example those of your instructors; upload them only for the purpose of keeping your own records.
If you send us suggestions or feedback, we may use them for any purpose without obligation to you.
11. Acceptable use
You agree not to, and not to help anyone else to:
- create, alter or submit falsified, fabricated or misleading flight records, or use LogTotals to deceive the FAA, an employer, an insurer, an examiner or anyone else;
- upload another person’s logbook or records without their authorization;
- upload content that is unlawful, infringing, or that you do not have the right to share;
- access, or try to access, accounts, data or systems that are not yours, or probe, scan or test the vulnerability of LogTotals without our written permission;
- scrape, crawl or harvest data from LogTotals, or access it by automated means other than the features we provide;
- copy, modify, reverse engineer, decompile or disassemble LogTotals, or try to derive its source code, models, prompts or underlying methods, except to the extent the law expressly allows despite this restriction;
- circumvent or interfere with any limit, quota, entry cap, plan restriction, payment requirement, security feature or access control, including by creating multiple accounts or entering false flight dates;
- interfere with or disrupt LogTotals, its providers or other users, or upload malware;
- resell, sublicense or provide LogTotals to others as a service, or use it to build a competing product; or
- use LogTotals in violation of any law or of these Terms.
12. Fees and subscriptions
12.1 Plans. Reading your pages (“scanning”) is a paid feature. Everything else in LogTotals, including entering flights by hand, importing, reviewing and submitting pages already read, totals, exports and backups, does not require a subscription. We offer:
- a free trial of 5 scans per person, with no card required and no expiry. An account opened with the email address of an account deleted earlier does not get a new trial;
- Pro Monthly, billed monthly, which includes 25 scans in each monthly billing period; and
- Pro Annual, billed yearly, which includes 300 scans in each yearly billing period, all usable from the start of the period.
The price, billing period and other terms of each plan are those shown in LogTotals and at checkout when you subscribe. Those checkout terms form part of these Terms. We may change, add or stop offering plans.
12.2 How scans are counted. One scan is one upload of a logbook page or two-page spread for reading, whether it is one photo or two. A scan is used when you upload, not when you submit. If LogTotals cannot read the page and marks it as failed, the scan is given back. A scan is not given back if you discard or delete the page after it has been read, or if you upload the same page again. Unused scans do not carry over to the next billing period, have no cash value, and cannot be transferred.
12.3 Renewing early. On Pro Annual, when you have few scans left you may choose to renew early. Renewing early charges the full annual price immediately and starts a new yearly billing period, with a new set of scans, from that moment. Scans left from the period it replaces end, and no refund or credit is given for the unused part of that period. Your renewal date moves to one year after you renew early.
12.4 Changing plans. You can switch between monthly and annual billing from your account. A switch starts a new billing period, with that plan’s scans, when it takes effect. Our payment processor credits the unused part of the old period against the new charge, as shown before you confirm.
12.5 Automatic renewal. Subscriptions renew automatically. Before you subscribe, checkout will show you clearly, next to the place where you agree: that the subscription renews automatically until you cancel, the billing period, the amount that will be charged at each renewal (plus any tax), and how to cancel. You will be asked to agree to the automatic renewal separately, by an affirmative action such as ticking a box. After you subscribe, we will send you an acknowledgment by email that repeats these terms and explains how to cancel. By agreeing, you authorize us and our payment processor to charge your payment method at the start of each new billing period, without further approval, until you cancel. For annual subscriptions, we will send you a reminder by email before each renewal, within the period required by law (in California, at least 15 and no more than 45 days before the renewal date), stating the renewal date, the amount, and how to cancel.
12.6 Cancelling and refunds. You can cancel a subscription online at any time from the Billing page, without having to call or write to us. Cancelling stops future renewals; your subscription stays active until the end of the period you have paid for, and then ends. When it ends you can no longer scan pages, but you keep access to your records, can still submit pages already read, and can export everything. Except as stated in this section or required by law, all payments are final, and we do not give refunds or credits for partial billing periods, unused time, unused scans, or periods in which you did not use LogTotals. If you are charged for an automatic annual renewal and ask for a refund at legal@primaaventura.com within 14 days after the charge, and you have not used any scans in the renewed period, we will refund that renewal charge in full. If we stop offering LogTotals altogether for reasons other than your violation of these Terms, we will refund, on a pro rata basis, the unused part of any prepaid subscription period.
12.7 Taxes. Prices do not include taxes unless checkout says they do. You are responsible for all sales, use and similar taxes on your purchases, other than taxes on our income, and we will collect them where the law requires.
12.8 Price changes. We may change prices. A price change never applies to a period you have already paid for. For a subscription, a new price applies from your next renewal after we have given you notice by email, within the time the law requires and in any case at least 7 days before the renewal at the new price, with instructions for cancelling. If you do not cancel before that renewal, you agree to the new price.
12.9 Failed payments. If a payment fails, we or our payment processor may try the charge again and ask you to update your payment method. You can keep scanning while the charge is being retried. If payment is still not made, your subscription ends and you can no longer scan pages. You remain responsible for amounts already due. Your records stay available for you to view and export.
12.10 Payment processing. Payments are processed by our payment processor, Stripe, under its own terms. We do not receive or store your full card number. If you dispute a charge with your bank before contacting us, we may suspend scanning while the dispute is open.
12.11 Referrals. You may share your personal referral link. A person who opens a new LogTotals account through it receives a discount of $10 at their first checkout on the LogTotals website; no discount applies to a subscription bought through the App Store. When that person’s first payment, on the website or through the App Store, has stood for 30 days without being refunded or disputed, you receive one free month of LogTotals Pro (a “reward”), given as follows: if you subscribe on the LogTotals website, a credit equal to one month of Pro Monthly, applied automatically to your next subscription charges; if you subscribe through the App Store, a one-time Apple offer code for one free month, sent to your account email and redeemed under Apple’s terms; and if you do not have a subscription, 30 days of Pro Monthly scans, starting when the reward is given. Rewards have no cash value, cannot be transferred or exchanged for cash, and are lost when your account is deleted. You may earn at most 12 rewards in a calendar year. Referring yourself, using a second account or someone else’s identity, paying with your own card for a person you referred, or sending unsolicited bulk messages with your link is not allowed, and we may withhold or reverse rewards obtained that way or in breach of these Terms. We may change or end the referral program at any time; rewards already earned are kept.
12.12 Subscriptions bought in the iOS app. In LogTotals’ iOS app, subscriptions are sold through Apple’s App Store using in-app purchase. For those subscriptions, Apple is the seller and processes payment, and Apple’s terms and the App Store’s purchase screen govern billing, automatic renewal, failed payments, cancellation and refunds, in place of Sections 12.4 to 12.10. You manage and cancel an App Store subscription in your Apple Account settings, not on LogTotals’ Billing page, and refund requests go to Apple. Renewing early (Section 12.3) is not available for App Store subscriptions. Deleting your LogTotals account does not cancel an App Store subscription; cancel it in your Apple Account settings first. The plans, scans and everything else in these Terms apply the same way however you subscribe.
13. Fees recorded during testing are waived
While LogTotals was being tested, it recorded an amount for each page submitted and showed it on the Billing page. Payment was never collected. All fees recorded during testing are waived permanently and will never be charged to you. They will not be carried over into any subscription or other charge, and they are not a debt you owe.
14. Third-party services and trademarks
LogTotals relies on, and links to, services operated by others, including sign-in with Google, Microsoft and Apple, and other logbook apps. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. ForeFlight, MyFlightbook, Garmin Pilot, LogTen, mccPILOTLOG, CrewLounge, Google, Gemini, Microsoft, Apple and all other names of products and companies mentioned in LogTotals are trademarks of their respective owners. LogTotals is not affiliated with, endorsed by or sponsored by any of them; we use their names only to describe compatibility.
LogTotals’ iOS app and Apple. If you use LogTotals’ iOS app downloaded from Apple’s App Store, these terms also apply, and they prevail over anything else in these Terms that conflicts with them. (a) These Terms are between you and Prima Aventura LLC only, not Apple, and we, not Apple, are solely responsible for the app and its content. (b) Your license to use the app is limited to Apple-branded devices that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, except that the app may be used by other accounts associated with you through Family Sharing or volume purchasing. (c) Apple has no obligation to provide any maintenance or support for the app. (d) If the app fails to conform to any warranty that applies to it, you may notify Apple, and Apple will refund the purchase price, if any, of the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to a warranty are our responsibility only to the extent these Terms do not disclaim or limit them. (e) We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims under consumer protection, privacy or similar laws. (f) If a third party claims that the app or your possession and use of it infringes that third party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement and discharge of that claim, to the extent these Terms require. (g) You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties. (h) Questions, complaints or claims about the app go to us at legal@primaaventura.com, as set out in Section 29. (i) You must comply with any applicable third-party terms, such as your wireless data service agreement, when using the app. (j) Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the app, and on your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
15. A service under development, and changes to it
LogTotals is under active development. Some features may be labelled as beta, preview or experimental; they are provided for evaluation and may be less reliable than the rest of LogTotals. We may add, change, limit or remove features at any time, and LogTotals may be unavailable from time to time, including for maintenance or because of problems with our providers. Where a change removes access to records you have submitted, we will give you a reasonable opportunity to export them first, unless we cannot do so for legal or security reasons.
16. Suspension, termination and deleting your account
By you. You may stop using LogTotals at any time. You can delete your account yourself on the Security page. Deleting your account permanently removes your page images, records, backups and account history, and cannot be undone, so export your records first. As described in the Privacy Policy, we keep a small record of the account, without any logbook content, for 5 years after deletion so that we can establish or defend legal claims. Deleting your account cancels any subscription bought on the LogTotals website immediately, without a refund (except as Section 12.6 provides), and forfeits unused scans and referral rewards. It does not cancel a subscription bought through the App Store, which you must cancel in your Apple Account settings (Section 12.12).
By us. We may suspend or close your account, or limit your access to LogTotals, if we reasonably believe you have violated these Terms or the law, if your use creates risk or possible legal exposure for us, other users or our providers, if required by law, or if we stop offering LogTotals. Where we reasonably can, we will tell you first. Unless we close your account for a violation, or the law or a security risk prevents it, we will give you at least 30 days to export your records before deleting them.
What survives. Sections 4 through 9, Section 10 (for anything we are allowed to keep), Section 12 (for amounts owed and refunds promised), Sections 13 and 14, Sections 17 through 28, and any other term that by its nature should survive, survive the end of these Terms.
17. Disclaimer of warranties
To the fullest extent permitted by law, LogTotals and everything in it, including automated readings, totals, currency and recency information, flags, checks, matches, imports, exports, backups and third-party data, is provided “as is”, “as available” and “with all faults”, and you use it at your own risk.
To the fullest extent permitted by law, the LogTotals Parties disclaim all warranties, conditions and representations of any kind, whether express, implied, statutory or arising from course of dealing or usage of trade, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, quiet enjoyment, and availability.
Without limiting the above, the LogTotals Parties do not warrant that LogTotals or any information it produces will be accurate, complete, current or free of errors; that it will meet your needs or any regulatory requirement; that it will be uninterrupted, secure or free of viruses or other harmful components; that any data, record or backup will be preserved or can be recovered; or that any defect will be corrected. No advice or information you get from LogTotals or from us creates any warranty not expressly stated in these Terms.
18. Assumption of risk
You understand that flying is an activity in which errors can cause serious injury, death and property damage, and that errors in logbook records, totals or currency information can lead to flying when you are not current or not qualified, to loss of insurance coverage, to rejected applications, to enforcement action, or to other harm.
You understand that LogTotals relies on automated reading, public data and software that can be wrong, and that data stored electronically can be lost or corrupted. Knowing this, you voluntarily assume all risks arising from your use of LogTotals and from any reliance on it by you or by anyone with whom you share information from LogTotals, to the fullest extent permitted by law.
19. Release of liability
To the fullest extent permitted by law, you release, waive, and forever discharge the LogTotals Parties from any and all claims, demands, causes of action, damages, losses, costs and liabilities of every kind, whether known or unknown, suspected or unsuspected, that arise out of or relate in any way to LogTotals or these Terms, including any error in an automated reading, total, currency or recency calculation, flag, check, match, import, export or backup, any loss or corruption of data or records, any decision you or anyone else makes based on information from LogTotals, and any act or omission of a third-party service. This release expressly includes claims arising from the ordinary negligence of the LogTotals Parties.
This release does not apply to any claim that cannot be released under applicable law, including claims arising from a LogTotals Party’s fraud, willful injury to person or property, gross negligence, or violation of law, and it does not release our obligations to you under these Terms, such as a refund promised in Section 12.6.
If you are a California resident, you expressly waive California Civil Code section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You also waive any similar law of any other state.
20. Limitation of liability
To the fullest extent permitted by law, the LogTotals Parties will not be liable to you or anyone else for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, income, employment or business opportunity, loss of or damage to data or records, cost of reconstructing records or obtaining substitute services, loss of use, loss of goodwill, fines or penalties, or action against any certificate, arising out of or relating to LogTotals or these Terms, however caused and on any theory of liability, including contract, tort (including negligence), strict liability or otherwise, even if we have been told such damages are possible.
To the fullest extent permitted by law, the total liability of all LogTotals Parties together, for all claims of any kind arising out of or relating to LogTotals or these Terms, will not exceed the greater of (a) the total amount you paid us for LogTotals in the 12 months before the event giving rise to the first claim, and (b) fifty US dollars (US $50). This limit applies even if a remedy fails of its essential purpose.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, so some of the limits in Sections 17 through 20 may not apply to you. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for a LogTotals Party’s fraud, willful injury to person or property, gross negligence, or violation of law (see, for example, 15 O.S. section 212). In those cases, the LogTotals Parties’ liability is limited to the fullest extent the law permits.
The disclaimers, release and limits in these Terms are an essential part of the bargain between you and us. LogTotals would not be offered, or would cost much more, without them.
21. Indemnification
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the LogTotals Parties from and against any and all claims, demands, actions, investigations, damages, losses, liabilities, fines, penalties, settlements, costs and expenses (including reasonable attorneys’ fees and court costs) brought by any third party or government authority, or incurred by a LogTotals Party, that arise out of or relate to: (a) your content, including the records you submit and their accuracy; (b) your use or misuse of LogTotals; (c) your violation of these Terms or of any law or regulation; (d) your violation of anyone else’s rights, including rights in the logbook pages or records you upload; (e) any reliance on information from LogTotals by you or by anyone with whom you share it, including any decision to act as pilot in command and any statement to the FAA, an employer, an insurer, an examiner or a school. We may take control of the defense of any matter subject to this section at your expense, and you will cooperate with us. You may not settle any such matter without our written consent. This section does not require you to indemnify a LogTotals Party for its own fraud, willful misconduct or gross negligence.
22. Time limit for bringing claims
To the fullest extent permitted by law, any claim or cause of action you have arising out of or relating to LogTotals or these Terms must be filed in a court permitted by Section 23 within one (1) year after the claim or cause of action arose. Otherwise, it is permanently barred. If the law does not allow this period to be shortened to one year, it is shortened to the shortest period the law allows.
23. Governing law and where disputes are decided
These Terms, and any dispute or claim arising out of or relating to them or to LogTotals, whether in contract, tort or otherwise, are governed by the laws of the State of Oklahoma and applicable federal law of the United States, without regard to conflict-of-law rules that would apply the law of another place. There is no arbitration under these Terms. Any such dispute or claim must be brought only in the state courts located in Oklahoma or the United States federal courts located in Oklahoma, and you and we each consent to the personal jurisdiction of, and venue in, those courts and waive any objection that they are an inconvenient forum. We may, however, seek an injunction or other equitable relief in any court with jurisdiction to protect LogTotals, our rights or our users from unauthorized access, scraping, misuse or infringement.
24. Waiver of jury trial and of class and representative actions
To the fullest extent permitted by law, you and we each knowingly and voluntarily waive any right to a trial by jury in any lawsuit or proceeding arising out of or relating to LogTotals or these Terms. Any such dispute will be decided by a judge.
To the fullest extent permitted by law, you and we each agree that any dispute will be brought and decided only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, mass or representative action, including any action as a private attorney general. A court may award relief only in favor of the individual party seeking it and only to the extent needed to provide relief for that party’s individual claim. If this class and representative action waiver is found unenforceable for a particular claim, that claim may proceed only in a court described in Section 23, and the rest of these Terms still apply.
25. Changes to these Terms
We may change these Terms from time to time. The date at the top shows when they were last updated. For a material change, we will give you notice before it takes effect, by email or in LogTotals, at least 14 days in advance where we reasonably can; changes needed for legal, security or safety reasons may take effect sooner. We may ask you to accept the updated Terms before you continue using LogTotals. If you continue to use LogTotals after a change takes effect, or accept it when asked, you agree to the updated Terms. If you do not agree, stop using LogTotals and delete your account. A change to Sections 22 through 24 does not apply to a dispute of which we had written notice before the change took effect.
26. Electronic communications and notices
You agree to receive agreements, notices, disclosures, receipts and other communications from us electronically, by email to the address on your account or within LogTotals, and that these satisfy any legal requirement that they be in writing. Keep your email address current; a notice is treated as received when we send it to the address on your account or post it in LogTotals. You can withdraw this consent only by deleting your account. You can send notices to us at legal@primaaventura.com.
27. Assignment
We may assign or transfer these Terms, and any of our rights and obligations under them, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, sale of all or part of our business or assets, or by operation of law. You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void.
28. General terms
- Severability. If any part of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and modified only as much as needed to make it enforceable, and the rest of these Terms remain in full effect.
- No waiver. Our failure or delay in enforcing any part of these Terms is not a waiver of our right to enforce it later.
- Entire agreement. These Terms, together with the Privacy Policy, the terms shown at checkout and any other terms we present to you in LogTotals, are the entire agreement between you and us about LogTotals and replace any earlier agreements or statements on the subject, including any earlier version of these Terms. If they conflict, these Terms control unless the other terms expressly say otherwise.
- Survival. The sections listed in Section 16 survive as stated there.
- Events beyond our control. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including outages or failures of our service providers, internet or power failures, cyberattacks, natural disasters, epidemics, war, terrorism, labor disputes, or actions of government authorities.
- Headings and wording. Headings are for convenience only and do not affect meaning. “Including” means “including without limitation”.
- No third-party beneficiaries. These Terms do not give rights to anyone other than you and us, except that the LogTotals Parties may rely on and enforce Sections 17 through 24.
- Relationship. You and we are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship.
